Terms of use

Version of 14 October 2026

This is an agreement between you and the operator of the Eyeward service. By registering or using the website and service you accept it. How we handle personal data is set out in the personal data processing policy; if you keep the data of your organisation’s customers and staff in the service, also in the data processing terms. This English text is a translation for convenience; the Russian version prevails.

1. General provisions

These terms (the Terms) are an agreement between the owner of the Eyeward website and service (erp.frezal.by) (the Operator) and anyone who uses the Eyeward website and service at erp.frezal.by, its desktop and mobile apps and its Telegram bot (the Service) (the User).

The User accepts the Terms in full and without reservation by registering an account, signing in or otherwise using the Service. If you do not agree with the Terms, do not use the Service.

The Terms are not a public offer of paid services. Paid plans (the Pricing page) are taken up under a separate contract or invoice, which prevails over the Terms in case of conflict. Prices and capabilities on the website are for information and are not an offer.

The personal data processing policy and, for organisations, the data processing terms form part of the Terms.

2. Account

  • Anyone with full legal capacity aged 18 or over may register. By registering on behalf of an organisation or inviting people into it, you confirm you are authorised to do so.
  • Provide accurate details and keep them up to date. One account is for one person; it may not be passed to others.
  • You are responsible for keeping your password safe and for everything done under your account. Turn on two-factor sign-in. Tell the Operator immediately if your password is lost or you suspect a break-in.
  • Access keys you issue in the Service for apps and external agents act on your behalf — keep them like a password and revoke those you don’t need.

3. Organisations and staff

  • The User who created an organisation in the Service is its owner. The owner invites staff, assigns roles and permissions and is responsible for their actions in the Service as for their own.
  • Data an organisation puts into the Service about customers, counterparties, staff and other people is processed by the Operator on the organisation’s behalf. By creating an organisation and putting such data in, its owner accepts the Data processing terms on the organisation’s behalf.
  • A staff member uses the Service within an organisation on the terms its owner sets. The organisation decides what data a staff member can access; access ends on removal from the organisation.
  • An organisation’s owner can export its data with the Service’s tools. When an organisation is deleted, its data is deleted — export it beforehand.

4. Rights to the Service

All exclusive rights to the Service — software, interface, design, texts, knowledge base, the Eyeward name and logo — belong to the Operator or its licensors. The Operator grants the User a simple (non-exclusive), non-transferable licence to use the Service as intended for the term of the Terms, worldwide, free of charge unless a paid plan contract says otherwise.

Without the Operator’s written permission you may not: copy, modify, decompile or disassemble the Service’s software except where the law expressly allows it; create derivative products; resell or rent out access to the Service; remove copyright notices. The Service uses open-source software, which is covered by its own licences.

5. Your content

  • Rights to the content you put into the Service (records, files, emails, messages, documents) stay with you or your organisation.
  • You grant the Operator the right to store, copy, process, transform (for example, make thumbnails, index for search) and display your content to those you or your organisation gave access — only to the extent needed for the Service to work and for as long as the content is kept in the Service. The Operator does not use content to train AI models and does not publish it.
  • You warrant that you have the right to put in and share your content, including other people’s personal data, and that it does not break the law or third-party rights.
  • The Operator does not review content in advance and is not responsible for it. The Operator may restrict access to or remove content that clearly breaks the law or the Terms, on the demand of an authorised body, or on a justified complaint from a rights holder.

6. What is prohibited

When using the Service you may not:

  • break the law or the rights and legitimate interests of others, including by keeping personal data without a legal basis;
  • send spam or messages without recipients’ consent — by email, in messengers, through broadcasts and message sequences; break the rules of the messengers and mail services the messages pass through;
  • upload or distribute malware, phishing, copyright-infringing material or information prohibited by law;
  • impersonate another person or organisation;
  • try to access others’ data and accounts, get round access restrictions, limits and security measures; look for vulnerabilities without the Operator’s permission (report any vulnerability you find — see “Legal information”);
  • create excessive load or scrape the Service other than through the interfaces it provides (API, MCP) within reasonable limits;
  • use the assistant and connected AI models for actions prohibited by law or by the model provider’s rules;
  • use the Service to build a competing product.

7. Outside services and artificial intelligence

  • The Service lets you connect outside services: AI models, mailboxes, messengers, calendars, 1C, DNS, MCP servers. You or your organisation connect them by choice and on their owners’ terms. The Operator is not responsible for their operation, availability, changes to their terms or how they process the data sent to them. You pay for outside services (for example, for an AI model key) directly to their owners.
  • The assistant’s answers are produced by the AI model you chose. They may be inaccurate, incomplete or wrong and are not professional (legal, financial, medical, tax) advice. Check them before relying on them. Actions the assistant proposes (records, emails, messages, settings changes) are carried out only after you confirm them or under a setting you switched on yourself — you are responsible for them.
  • The User is responsible for following the rules of model providers, messengers and mail services, including rules on broadcasts and recipients’ consent.

8. How the Service works

  • The Service is provided “as is” and “as available”. The Operator aims for uninterrupted operation but does not guarantee that the Service will run without interruptions or errors, that it suits your purposes, or that its results will be accurate.
  • The Operator may carry out maintenance, without notice if urgent, change, add and remove features, and offer features in test mode.
  • The Operator takes reasonable measures to keep data safe but does not guarantee it. Export important data regularly with the Service’s tools (exporting records to Excel, downloading files).

9. Liability

  • The parties are liable for breach of the Terms under the law of the Republic of Belarus, subject to the limits in this section.
  • To the extent permitted by law, the Operator is not liable for lost profits, indirect losses, loss of data or business reputation, or losses caused by: actions of the User, its staff and anyone who gained access to its account; the User’s content; outside services and AI models; failures of networks and equipment not owned by the Operator; actions of public authorities.
  • Unless a paid plan contract says otherwise, the Operator’s total liability is limited to the amount the User actually paid the Operator for the Service in the three months before the event, and for free use — to actual damage caused intentionally or through gross negligence of the Operator.
  • These limits do not apply to liability for intentional breach or to rights that the law does not allow to be limited, including consumer rights.
  • The User compensates the Operator for losses, including fines and defence costs, arising from the User’s breach of the law or the Terms, including third-party claims about the User’s content or its processing of personal data.

10. Suspension and termination

  • The Operator may suspend or restrict access to the Service or individual features, and block an account or organisation: for breach of the Terms or the law; when the security of the Service, data or other users is at risk; on the demand of an authorised body. Where the law allows and it does not hinder dealing with the threat, the Operator gives the reason.
  • The User may stop using the Service at any time and ask for the account to be deleted. Data is deleted as described in the personal data processing policy.
  • The provisions on rights to the Service, liability, compensation and disputes survive termination of the Terms.

11. Force majeure

The parties are not liable for failure to perform caused by force majeure: natural disasters, failures of power and communication systems, military action, mass unrest, acts of public authorities, large-scale attacks on network infrastructure and other events a party could not foresee or prevent.

12. Notices

The Operator sends notices to the account’s email address and/or within the Service; they are deemed received on the day sent. The User sends notices and claims through the request form on the website or the “Support” section in the app. The parties recognise the legal force of electronic correspondence.

13. Disputes and governing law

  • The Terms are governed by the law of the Republic of Belarus.
  • Before going to court, a party sends the other a written claim; the reply period is 30 days from receipt.
  • Disputes not settled by claim are heard by the court at the Operator’s location. If the User is a consumer, jurisdiction and governing law are determined by the rules protecting consumer rights.

14. Changes to the Terms

The Operator may change the Terms. A new version is published on this page with its date and takes effect 7 days after publication unless it states otherwise; changes required by law or a security threat may take effect immediately. We warn users of material changes in the Service or by email. By continuing to use the Service after changes take effect, the User accepts them; if you do not agree, stop using the Service.

15. Miscellaneous

  • If any provision is held invalid, the rest remain in force.
  • The Operator’s failure to act on a breach does not waive its right to act later.
  • The Terms are written in Russian; the English translation is for convenience, and the Russian text prevails in case of discrepancy.
  • Details of the Operator are in the Legal information.
